Vendor Consent & Terms of Participation
This Vendor Consent Agreement (“Agreement”) is entered into between KOIA SHOP and the Vendor. By completing registration and accepting this agreement, the Vendor agrees to the following terms and conditions for selling products on the Platform.
1. Scope of Service The Platform provides an online marketplace for the Vendor to list, promote, and sell their products to a wider audience. The Platform agrees to provide the digital infrastructure, payment processing, and customer support coordination necessary to facilitate these transactions.
2. Platform Fees & Commission The Vendor acknowledges and agrees to the following fee structure:
- Platform Fee: A commission of 4% will be deducted from the total gross sale price of every item sold.
- Deduction Method: This fee will be automatically deducted at the source before the remaining balance is settled.
- Net Payment: The Vendor will receive the sale price minus the 4% platform fee and any applicable statutory taxes or processing fees.
3. Vendor Responsibilities
- Product Accuracy: Accurate descriptions, pricing, and high-quality images must be provided.
- Inventory Management: Stock levels must be updated in real-time to avoid cancellations.
- Order Fulfillment: Orders must be packed and shipped within 24–48 hours.
4. Intellectual Property & Conduct The Vendor warrants that all products listed do not infringe on any third-party intellectual property rights. The Vendor grants the Platform a non-exclusive license to use product images and descriptions for marketing and promotional purposes.
5. Termination Either party may terminate this agreement with 15 days’ written notice. Upon termination, any outstanding sales balances will be settled and the Vendor’s listings will be removed from the Platform.
6. Consent By checking the box below, you confirm that you have read, understood, and agreed to these terms, specifically the 4% platform fee on every sale.
